TeachAid Paid Subscription Agreement for Educators
Welcome to TeachAid! This Paid Subscription Agreement (the “Agreement”) governs your access and use of paid features on http://TeachAid.ca (the “Platform”) as an individual educator purchasing a subscription.
By clicking “I Agree,” making a payment, or accessing any paid features, you agree to be bound by this Agreement, our Terms of Service, Privacy Policy, Student Privacy Policy, and Data Processing Addendum, all of which are incorporated by reference.

1. Subscription & Access
You are purchasing a personal, non-transferable, non-exclusive subscription to access premium features on the TeachAid platform. Your access is conditioned on payment (after any applicable free trial period) and compliance with this Agreement.

2. Subscription Term and Renewal
Your subscription begins on the date you activate it. If you are eligible for a free first month, your subscription term will begin with a 30-day free trial, during which you will have full access to paid features at no charge. At the end of the free trial, your subscription will automatically convert to a paid subscription unless canceled beforehand. Your subscription will then renew automatically at the current monthly or annual rate, depending on your selection.

3. Payment & Billing
All fees are due upfront and are non-refundable, except as required by law or as otherwise stated in this Agreement. For subscriptions beginning with a free first month, you will not be charged until the trial period ends. You authorize TeachAid to charge your payment method on a recurring basis once the paid term begins. TeachAid may adjust pricing with advance notice provided by email or through the Platform.

4. Cancellation & Termination
You may cancel at any time via your account settings, effective at the end of your current billing period. If you cancel during the free trial, you will not be charged. TeachAid may suspend or terminate your access if you breach this Agreement or misuse the Platform.

5. Permitted Use
Your subscription is intended for personal professional use only. Sharing access, sublicensing, or reselling features is strictly prohibited. You agree not to use the Platform in any unlawful or harmful way.

6. Student Data and Privacy
If you input or process student information, you represent that you have the necessary rights and consents. Our handling of such data is governed by our Student Privacy Policy and Data Processing Addendum.

7. Content & Intellectual Property
You retain ownership of content you create using TeachAid. However, you grant TeachAid a limited license to use this content for the purpose of operating and improving the Platform. TeachAid retains all rights to its own content, tools, and underlying technology.

8. Modifications to Services
TeachAid may modify, discontinue, or add features at its sole discretion. Material changes will be communicated via email or in-platform notification. Continued use after changes constitutes acceptance.

9. Disclaimer of Warranties
The Platform is provided “as is” and “as available.” TeachAid disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability
To the fullest extent permitted by law, TeachAid shall not be liable for any indirect, incidental, or consequential damages. Our total liability under this Agreement shall not exceed the amount paid by you in the past 12 months.

11. Indemnification
You agree to indemnify and hold harmless TeachAid from any claims or liabilities arising from your use of the Platform, your content, or your violation of this Agreement.

12. Governing Law
This Agreement is governed by the laws of the Province of Ontario, Canada, without regard to its conflict of law principles.

13. Entire Agreement
This Agreement, together with the referenced policies, constitutes the entire agreement between you and TeachAid regarding your paid use of the Platform.
