Terms of Service (TOS)

1. TeachAid Terms

​

These Terms apply to your use of the TeachAid Services and Platform. Please read them carefully. Together with our Privacy Policy, Student Privacy Policy, and Data Processing Agreement (“DPA”), these Terms form a legal agreement between you and TeachAid, a Canadian company headquartered in Ontario. If you or an affiliated Organization have entered into an Enterprise Agreement with TeachAid, your use of TeachAid Services will also be governed by that agreement.

These Terms define the conditions under which you may use TeachAid Services and consume Resources. If you do not agree to these Terms, you must immediately discontinue your use of the TeachAid Services and Resources.

In addition to these Terms, our Privacy Policy, Student Privacy Policy and DPA explain how TeachAid processes the personal information we collect, including how we protect your privacy. Details about our processing of student personal data, collected as a processor or ‘school official’ on behalf of a school or teacher, can be found in our Student Privacy Policy.

2. Responsible Use and Conduct

2.1 General

You agree to use TeachAid Services and Resources only for their intended purposes and as permitted by the Agreement and applicable laws. Misuse of Services or breach of the Agreement may result in account suspension or termination.

Your account is personal and non-transferable. You are responsible for maintaining the confidentiality of your account credentials and notifying TeachAid promptly of any possible misuse. Information provided during registration must be accurate. TeachAid reserves the right to take legal action against fraudulent or false representations.

2.2 Use of AI-Generated Content

TeachAid’s AI tools are designed to support educators by generating content to assist in teaching. However, AI-generated content is a starting point and does not replace professional judgment. As an Educator, you are responsible for reviewing, editing, and validating any AI-generated materials for accuracy, bias, and appropriateness before sharing them with students or others. Ensure the content aligns with your professional standards and the educational goals of your institution.

 

Content Validation: AI-generated outputs may contain inaccuracies or omissions. Always verify the information for correctness and relevance to your instructional goals.

Bias Awareness: AI tools can reflect biases present in the data they were trained on. Review all content critically to avoid inadvertently perpetuating bias.

Timeliness of Information: Be mindful that TeachAid's AI may not have knowledge of developments beyond its training cut-off date.

Confidentiality: Do not include sensitive or personally identifiable information in the prompts you submit to the AI tools. This ensures compliance with privacy laws and institutional policies.

2.3 Prohibited Uses of the Services

To protect the integrity of TeachAid and its users, the following uses are strictly prohibited:

Misrepresentation of identity or authority to use the Services.

Violations of intellectual property, privacy, or other legal rights of individuals or organizations.

Sharing or posting offensive, defamatory, or otherwise inappropriate content using TeachAid Services.

Using Services for unauthorized commercial purposes, such as creating materials for sale.

Accessing or attempting to access Services in a way that disrupts the platform or breaches security protocols, including reverse engineering or unauthorized automation.

Any violation of these prohibitions may result in immediate account suspension or termination.

2.4 Data Privacy and Student Data

Your use of TeachAid includes student-facing services, our Student Privacy Policy governs the collection, use, and safeguarding of student data.

You are responsible for obtaining necessary consents from parents or guardians, where applicable, and ensuring that TeachAid’s use of student data aligns with legal requirements.

Prohibited Information: Do not upload personal information about students or their families 

Parental Notification: You are encouraged to share TeachAid’s Student Privacy Policy with parents and guardians.

2.5 Organizational Use

If you use an email address provided by an Organization to register for TeachAid Services, you represent that you have the authority to do so. The Organization may manage your account, including controlling your access and processing your data. For privacy inquiries, contact your Organization’s Administrator or TeachAid at nadeem@teachaid.ca.

3. Licensed Rights

TeachAid grants you a non-exclusive, revocable license to use its Services under the applicable Service Plan. You agree to abide by TeachAid’s Acceptable Use Policy and other applicable guidelines.

Except for the rights expressly granted, TeachAid retains ownership of all intellectual property related to the Services. Unauthorized use, modification, or redistribution of TeachAid Services is prohibited.

4. Service Plans and Content Subscriptions

​

4.1 Available Plans

TeachAid offers Free and Paid Service Plans. Free Plans provide limited features. Paid Plans enable access to additional features and functionality. Plan details are available on our website.

5. Payments and Cancellations

​

5.1 Payments

Paid Plans and Subscriptions require payment in advance. Subscriptions auto-renew unless canceled before the current period ends. Failure to pay may result in suspension or loss of access to Paid Plan features.

5.2 Refunds and Trials

Consumers may withdraw from Paid Plans within 14 days of subscription, as permitted by Canadian consumer protection laws. Trials may be subject to additional terms.

​

5.3 Price Changes

TeachAid may adjust pricing for Paid Plans. Changes will apply at the beginning of the next billing cycle. Notification will be provided via email or in-service communications.

6. User Content

​

6.1 Licensing

You grant TeachAid a license to process your User Content for the purpose of delivering Services. TeachAid will secure and use your data only as necessary to provide Services.

​

6.2 Responsibilities

You represent that you have the rights to upload User Content and that such content complies with applicable laws. TeachAid may monitor, edit, or remove content that violates these Terms.

​

6.3 Public Content

By creating, sharing, or making User Content, you grant TeachAid a perpetual license to use and distribute such content. User Content may remain accessible even after account termination.

​

7. Third-Party Applications

TeachAid integrates with third-party applications to enhance functionality. Use of these applications is subject to their respective terms. TeachAid is not liable for issues arising from third-party applications.

8. Data Protection

TeachAid processes personal data in compliance with Canadian privacy laws. Refer to our Privacy Policy for more information.

​

9. Account Security

You are responsible for maintaining account security. TeachAid may suspend accounts to prevent unauthorized access. Notify TeachAid immediately of security breaches.

​

10. Term and Termination

TeachAid may terminate or suspend access for breach of Terms. 

​

11. Warranty and Disclaimer

TeachAid provides its Services "as is" without warranties. TeachAid does not guarantee uninterrupted or error-free operation.

​

12. Limitation of Liability

To the maximum extent permitted by law, TeachAid’s liability is limited to the amount paid by you in the 12 months preceding the event giving rise to liability. TeachAid is not liable for indirect or consequential damages.

​

13. Governing Law and Jurisdiction

These Terms are governed by Canadian law. Disputes will be resolved in Ontario courts.

​

14. Changes to Terms

TeachAid may update these Terms to reflect changes in Services or legal requirements. Material changes will be communicated via email or in-service notifications. Continued use constitutes acceptance of updated Terms.

​

15. Indemnification

You agree to indemnify TeachAid against claims or damages arising from your breach of these Terms or misuse of Services.

​

16. Miscellaneous

​

16.1 Entire Agreement

These Terms, together with applicable policies, constitute the entire agreement between you and TeachAid.

​

16.2 Severability

If any provision is deemed invalid, the remaining provisions remain enforceable.

​

16.3 Assignment

TeachAid may assign or transfer its rights under these Terms. You may not assign your rights without consent.

​

17. Definitions

  • Acceptable Use Policy: Guidelines on appropriate use of TeachAid Services.

  • Administrator: Organization’s designated account manager.

  • Organization: Entity affiliated with a user, such as an employer.

  • Service Plan: Subscription plans detailing features and access.

  • User Content: Content uploaded or created by users.
