These Terms of Service (“Terms”) govern your access to and use of TeachAid’s platform, services, and associated tools (collectively, the “Services”), operated by 1000662662 Ontario Corporation, doing business as TeachAid (“TeachAid”, “we”, “our”, or “us”). These Terms form a binding legal agreement between you and TeachAid.
By accessing the Services, you agree to be bound by these Terms, our Privacy Policy, Student Privacy Policy, and Data Processing Agreement (DPA). If you do not agree, you must not use the Services.
If your school, district, or organization has entered into a separate Enterprise Agreement with TeachAid, that agreement will supplement and, where applicable, override these Terms.
1. Use of Services
You may use the Services only for lawful educational purposes. TeachAid acts as a data processor or “school official” when handling student information, in compliance with applicable laws including:

2. Account Responsibilities and Conduct
2.1 General Expectations
You agree to:

Provide accurate registration information;

Keep account credentials confidential;

Not impersonate others or share your account;

Use the Services only in lawful, educational contexts.
2.2 AI Tools
Our AI-powered tools support curriculum development, not educational decision-making. You are responsible for:

Reviewing generated content for accuracy and alignment;
-
Avoiding the input of identifiable student or sensitive personal information;
-
Ensuring age-appropriateness and curricular relevance.
You may opt out of the use of your anonymized data to improve AI models by contacting us at nadeem@teachaid.ca.
2.3 Prohibited Use
You may not:

Reverse engineer or attempt to extract source code;

Upload or input unauthorized personal data of students;

Violate intellectual property laws;
-
Use automated tools or bots without permission;
-
Use the Services for non-educational or commercial resale.
3. Data and Student Privacy

Student access is invitation-only (via teacher-generated codes or links). We collect only first names or nicknames.
3.1 Parental Rights
Parents/guardians may:

Request access to or deletion of their child’s data;
-
Receive a response within 30 days;
-
Submit appeals if dissatisfied with the resolution by emailing nadeem@teachaid.ca.
4. Organizational Use
If you register using a school or district email:

You confirm authorization to act on behalf of that organization;
-
The organization may access usage and content activity;
-
Administrative oversight may include log data or license management.
5. Intellectual Property and License
TeachAid grants you a limited, non-exclusive, revocable license to use the Services according to your subscription level.
All underlying software, AI systems, instructional templates, and user interface designs remain the intellectual property of TeachAid.
You may not:

Copy, modify, or rehost TeachAid software or components;
-
Circumvent account-level restrictions or licenses.
6. Subscription Terms

6.1 Plan Types

Free Tier – Limited access

Paid Plans – Full access to AI curriculum tools, templates, and collaboration features
6.2 Billing & Renewal

Paid plans renew automatically unless canceled;

You may cancel any time through your account dashboard;
-
Refunds are available within 14 days of purchase.
6.3 Price Changes
We will notify users of any price changes at least 30 days in advance.
7. User Content
7.1 Ownership
You retain ownership of any uploaded or generated content. You grant TeachAid a non-exclusive, royalty-free license to:

Store and display content for your use;
-
Improve the Services through de-identified, aggregate analysis (see Privacy Policy).
7.2 Content Responsibility
You are responsible for ensuring that:

You have rights to all uploaded content;
-
It complies with copyright, privacy, and other legal standards.
TeachAid disclaims liability for content posted by users and reserves the right to remove content in violation of policy.
8. Third-Party Tools & Subprocessors
We use third-party service providers (“subprocessors”) for secure hosting, payment processing, analytics, AI infrastructure, and communication tools.

We require subprocessors to comply with our data protection obligations and allow users 30 days to object to material changes.
9. Security and Data Protection
TeachAid maintains robust safeguards aligned with NIST, ISO/IEC 27001, and local regulations. Key protections include:

AES-256 encryption at rest and during backup;

TLS encryption for all data in transit;

Canadian data residency on DigitalOcean servers;
-
Industry standard authentication, access logging, and endpoint protection;

Annual training for staff with data access.
10. Breach Notification
In case of a data breach:

Affected schools and districts will be notified within 24 hours;
-
Affected users will be notified within 72 hours, unless restricted by law enforcement;
-
Breach investigations and audit logs are maintained in compliance with our DPA.
11. Termination
You may terminate your account at any time by contacting nadeem@teachaid.ca.
We may suspend or terminate access for:

Breaches of these Terms;
-
Legal compliance or security concerns.
Upon termination:

Student data will be deleted within 30 days;
-
Teachers may request export of their content.
12. Disclaimers
The Services are provided “as is”, without warranties of:
-
Merchantability,
-
Fitness for a particular purpose,
-
Non-infringement,
-
Availability or error-free operation.
13. Limitation of Liability
To the extent permitted by law:

TeachAid’s liability is limited to the amount you paid in the 12 months prior to the claim;

We are not liable for indirect or consequential damages.
14. Indemnification
You agree to indemnify TeachAid against claims resulting from:

Your use of the Services;
-
Your uploaded content;
-
Violations of applicable law or these Terms.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of Ontario, Canada.
Disputes must:

First be resolved through good-faith mediation;
-
If unresolved, be submitted to binding arbitration in Toronto, Ontario;
-
You waive class action rights and agree to individual resolution.
16. Force Majeure
TeachAid is not liable for delays or disruptions beyond its control, including natural disasters, infrastructure failure, or regulatory restrictions.
17. Updates to These Terms
We may revise these Terms periodically. If material changes are made, we will provide 30 days’ notice.
Continued use after such notice constitutes acceptance.
