Terms of Service (TOS)

These Terms govern your use of TeachAid’s websites, applications, curriculum tools, interactive classroom features and related services, together called the “Services.”

TeachAid is operated by:

By creating an account, purchasing a subscription, accepting these Terms or using the Services, you agree to them.

A signed school, district, pilot, sandbox, order form, Data Processing Addendum or student-data privacy agreement controls where it conflicts with these Terms. Stronger rights required by law or a signed agreement continue to apply.

1. Accounts and authority
Educator and administrator accounts are intended for adults who can legally enter into these Terms.

You must provide accurate information, protect your credentials and promptly report suspected unauthorised access. Accounts may not be sold, transferred or shared outside an approved organisational process.

Students do not create TeachAid accounts.

Using a school or organisational email address may help TeachAid identify your affiliation or invite you to an authorised organisation. Organisational memberships are established through a signed agreement or another TeachAid-approved verification process.

2. Plans and enterprise services
TeachAid may offer:
- Free educator accounts
- Paid educator subscriptions
- School or district enterprise accounts
- Authorised pilots and sandboxes

Features, prices, limits and usage allowances appear in the product, at checkout or in the applicable agreement.

The following features are limited to authorised enterprise, pilot or sandbox deployments:
- Professional learning communities
- Shared organisational workspaces
- Curriculum mapping
- Scope-and-sequence

- Administrator reporting
- District configuration and customisation
- Enterprise training and implementation
- Custom school or district functionality

TeachAid may update individual-plan features with reasonable notice. Contracted enterprise features are governed by the signed agreement.

3. Student activities
Educators may create interactive activities that students access through a teacher-issued link or code.
Students enter a first name or nickname. They do not create an account or provide an email address, password, Google login, Microsoft login or social-media login.

Before collecting student responses, the educator must confirm that:
- The school or educational organisation authorises the use
- The activity serves an authorised educational purpose
- Required notices, approvals and consents have been obtained
- Students will use only a first name or nickname
- Sensitive student records will not be entered

TeachAid records that confirmation and may prevent response collection if the educator does not provide it.

 

Educators and students must not submit:
- Student contact information
- Government identifiers
- Formal IEPs
- Diagnoses
- Medical or psychological records
- Behaviour or safety plans
- Psychoeducational records
- Other sensitive student records

Generalised instructional needs may be described without identifying a student, such as reading level, language supports, visual supports, chunked instructions or alternative response formats.
TeachAid may restrict an activity where authorisation, lawful use, privacy or security is reasonably in doubt.

 

4. Artificial intelligence
TeachAid uses artificial intelligence to help educators and organisations develop curriculum, lessons, slides, resources, assessments and related instructional materials.

AI-generated material may be inaccurate, incomplete, biased, outdated, non-unique or unsuitable for a particular learner or community.

Educators and educational organisations must review material before using it, including for:
- Accuracy
- Curriculum alignment
- Accessibility
- Age appropriateness
- Cultural suitability
- Copyright and third-party rights
- Safety
- Bias
- Individual student needs

TeachAid must not be used as the sole basis for grading, discipline, placement, admission, special-education eligibility, diagnosis, student-risk scoring, educator evaluation, employment or medical, psychological, legal, safety or emergency decisions.

TeachAid does not use Customer Content or Student Data to train general-purpose AI models and requires its AI providers not to do so.

Student names, answers, notes and drawings are not sent to AI providers.

Curriculum-generation features may send educator prompts, selected uploads, curriculum standards, district materials and related context to an approved AI provider as needed to provide the requested feature.

5. Your content and TeachAid output
You retain the rights you have in material you submit to TeachAid.

Schools and districts retain ownership and control of their:
- Student Data and education records
- Curriculum documents
- Curriculum maps
- Organisational configurations
- Uploaded materials
- Customer-specific content

You give TeachAid a limited licence to host, process, reproduce and transmit your content only as needed to provide, secure and support the Services, comply with your instructions and meet legal obligations.

TeachAid does not claim ownership of material generated for you through the Services. As between you and TeachAid, you may use that output for lawful purposes, subject to these Terms and third-party rights.

AI output may not be unique, and TeachAid does not guarantee that copyright or other exclusive rights exist in it.

TeachAid retains all rights in its software, interfaces, workflows, system prompts, templates, models, documentation, designs and underlying technology.

Feedback you voluntarily provide may be used to improve TeachAid without identifying you or disclosing confidential information.

6. Enterprise workspaces and administrator access
Enterprise workspaces are limited to authorised organisational members.

Materials remain private unless the user deliberately shares them or the applicable enterprise configuration clearly provides otherwise. Sharing controls identify the intended audience and permit unsharing where reasonably possible.

Student responses and identifiable Student Data may not be placed in:
- Shared resource libraries
- Professional learning communities
- Public collections
- Cross-customer spaces
- Marketing systems
- Authorised administrators may access information such as:
- Organisational membership
- Names and work email addresses
- Licence and login activity
- Usage by user
- Unit titles and creation dates
- Aggregate activity and time-use information
- Shared workspace content
- Curriculum maps
- Authorised student activity information

Administrators do not receive access to the full contents of private educator drafts unless that access is expressly described in the product and authorised by the applicable agreement.

Customer-specific materials and configurations are not reused for another customer without written permission.

7. Curriculum mapping
Curriculum mapping is available only through an authorised enterprise, pilot or sandbox deployment.
The customer owns its curriculum documents, maps and organisation-specific configurations.

Curriculum mapping may process standards, curriculum documents, links, strategic priorities, pedagogical frameworks, scope and sequence and similar organisational materials.

It is not intended for Student Data, formal IEPs, health information, behaviour plans or employee-evaluation records.

Selected curriculum information may be processed by TeachAid’s approved AI provider to provide the requested mapping and generation features.

8. Connected services
TeachAid may allow adult users to sign in with Google or Microsoft and connect services such as Google Drive or Microsoft storage tools.

When you connect a service, TeachAid may receive information authorised by you, such as:
- Your account identifier
- Name and email address
- Profile photo, where available
- Authentication and access tokens
- Files or folders you select
- Documents TeachAid creates or exports at your request

TeachAid uses connected-service information only to authenticate you or provide the requested integration.

 

Access tokens are protected and removed when you disconnect the integration or delete your account, subject to necessary security and legal records.

Files exported to a third-party account remain under your control and are also governed by that provider’s terms and privacy policy.

Teacher-selected third-party media, such as embedded YouTube content, may be governed by the third party’s own terms and privacy practices.

9. Acceptable use
You may use TeachAid only for lawful educational, professional or authorised organisational purposes.

You must not:
- Submit personal information without lawful authority
- Violate privacy, copyright, confidentiality or other rights
- Create unlawful, abusive, discriminatory, exploitative, defamatory or dangerous content
- Use TeachAid to facilitate self-harm, violence, sexual exploitation or illegal activity
- Attempt unauthorised access
- Introduce malware or harmful code
- Interfere with security, integrity or availability
- Circumvent plan, licence or access restrictions
- Scrape or extract data through unauthorised automation
- Reverse engineer TeachAid except where law expressly permits it
- Resell or sublicense the Services without written permission
- Use Student Data for advertising, marketing, commercial profiling or unrelated commercial activity
- Use TeachAid’s protected technology or content to develop a competing service without written permission
- TeachAid may investigate suspected misuse and may remove content, restrict functionality, suspend access or terminate accounts where reasonably necessary.

10. Billing, renewals and refunds
Free plans have no payment obligation.

Individual paid subscriptions renew at the price and billing interval shown at checkout until cancelled.

Before payment, TeachAid will display the applicable price, currency, billing period, taxes, renewal terms and any trial-conversion date.

Cancellation stops the next renewal. Paid access ordinarily continues until the end of the current billing period.

A first-time individual subscriber may request a refund within 14 days of the initial purchase. A subscriber may request a refund within 48 hours of an accidental renewal.

Other charges are non-refundable and non-prorated except where:
- Required by law
- Caused by a TeachAid billing error
- Stated otherwise at checkout
- Approved by TeachAid

TeachAid will give at least 30 days’ notice before a price increase applies to an existing subscription renewal.

 

TeachAid may suspend paid functionality following a failed payment. Content will not be deleted solely because of failed payment for at least 30 days.

Enterprise fees, renewal, cancellation, refund and payment terms are governed by the signed agreement.

 

Mandatory consumer rights continue to apply.

11. Privacy and security

TeachAid handles information under its:
- Privacy Policy
- Student Privacy Policy
- Data Processing Addendum
- Applicable signed student-data agreements

TeachAid maintains administrative, technical and organisational safeguards appropriate to the nature of the information, including encryption, restricted access, multi-factor authentication for privileged systems, monitoring, protected backups, restoration procedures and incident response.

TeachAid does not provide managed IT or remote-management services for customer devices, networks, servers or infrastructure.

Customers remain responsible for their own devices, networks, administrator access, credentials, exports and local records.

12. Availability and changes to the Services

TeachAid may perform maintenance, address security risks and modify or discontinue features.
Beta, preview, sandbox and experimental features may change or be withdrawn.

TeachAid does not guarantee uninterrupted or error-free availability unless a signed service-level agreement expressly states otherwise.

13. Suspension and termination

You may stop using TeachAid or request account deletion.

TeachAid may suspend or terminate access for:
- Material breach of these Terms
- Unlawful or harmful use
- Security risk
- Non-payment
- Misuse
- Legal or regulatory requirements

Where reasonable, TeachAid will provide notice and an opportunity to correct the issue. Immediate action may be taken where necessary to protect students, users, customers, security or the Services.
Enterprise export, transition, retention and deletion are governed by the applicable agreement and DPA.

14. Disclaimers

To the maximum extent permitted by law, TeachAid and its output are provided “as is” and “as available.”

TeachAid does not guarantee:
- Particular educational outcomes
- Complete accuracy
- Uniqueness
- Absence of bias
- Uninterrupted availability
- Suitability without professional review
- That output is free from third-party rights
- Compliance with requirements not disclosed to TeachAid

TeachAid will perform contracted professional services with reasonable skill and care where a signed agreement requires it.

Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

15. Limitation of liability

To the maximum extent permitted by law, TeachAid is not liable for indirect, incidental, special, punitive, exemplary or consequential damages, including lost profits, revenue, savings, goodwill or data.

For self-serve accounts, TeachAid’s total liability arising from the Services will not exceed the greater of:
- The amount paid for the affected Services during the previous 12 months; or
- CAD $100

These limits do not apply where liability cannot legally be limited, including fraud or intentional misconduct.
Enterprise liability is governed by the signed agreement.

TeachAid is not responsible for loss from customer devices, networks, servers, local records or backups that TeachAid does not manage.

16. Indemnity

To the extent permitted by law, you will protect TeachAid from third-party claims arising from:
- Your unlawful use
- Your submitted content
- Your violation of third-party rights
- Your unauthorised disclosure of personal information
- Your material breach of these Terms

This obligation does not apply to the extent a claim was caused by TeachAid’s breach, negligence or misconduct.

No indemnity applies to a public institution where prohibited by law.

17. Customer references

TeachAid will not use a customer’s name, logo, testimonial, screenshot, curriculum map, uploaded material, generated resource or student work in marketing without written permission.

Written permission may be provided through a separate approval or an express provision in a signed agreement.

Student Data will never be used in marketing.

18. Copyright concerns

To report material that you believe infringes copyright or another intellectual-property right, contact nadeem@teachaid.ca with:
- Your contact information
- Identification of the protected work
- Identification of the material in question
- Its location in TeachAid
- A description of the alleged infringement
- A statement that your report is accurate and made in good faith
- TeachAid may remove disputed material and restrict repeat infringers where appropriate.

19. Governing law and general terms

These Terms are governed by Ontario law and applicable federal Canadian law.

Mandatory consumer, privacy and education rights in your jurisdiction continue to apply.

The parties will first attempt in good faith to resolve disputes through direct discussion. Ontario courts have jurisdiction unless mandatory law or a signed agreement provides otherwise.

You may not assign these Terms without TeachAid’s permission. TeachAid may assign them to an affiliate or successor in connection with a merger, financing, reorganisation or sale.

TeachAid is not responsible for delay caused by events reasonably beyond its control.

A failure to enforce a provision is not a waiver. If part of these Terms is unenforceable, the remainder continues in effect.

These Terms do not create an employment, agency, partnership or joint-venture relationship.

20. Changes and contact

TeachAid will provide at least 30 days’ notice of material changes through email, the product or another reasonable method.

Urgent legal or security changes may take effect sooner, with notice as soon as practicable.

Changes to public policies do not reduce rights in an existing signed agreement.
